Minimum Advertised Pricing (MAP) Policy
The Bradley Corporation (the Company) and its subsidiaries have determined that its own interests, and the interests of its wholesaler and distributor resellers, are best served through the adoption of a minimum advertised price (“MAP”) policy.
This MAP Policy is designed specifically to:
- Maximize sales margins
- Encourage all resellers to invest and promote sales of Bradley products
- Maintain and grow the value of the 95-year-old Bradley brand
This MAP policy has been unilaterally adopted by the Company and will be enforced through a third-party online monitoring tool. The Company is not seeking consent, approval or agreement, or any assurance of adherence to this MAP Policy, from any reseller. It is entirely within the discretion of a Bradley reseller whether to comply or not comply with Bradley’s MAP Policy.
Nothing in this MAP Policy or in any other contract or agreement with Bradley shall constitute an agreement between the Company and reseller that the reseller will comply with this MAP Policy. The Company will not discuss any conditions of this MAP Policy. It is non-negotiable and will not be altered for any reseller.
Bradley reserves the right to change, suspend, terminate or otherwise modify its MAP Policy from time to time in whole or in part. All such MAP Policy modifications shall be made available to the reseller from traditional communications channels, or on www.bradleycorp.com/MAP. Bradley list prices shall be used to calculate minimum advertised pricing by applying a MAP discount to published list prices. List prices are available through Bradley Headquarters Customer Service or Bradley Field Sales.
The Bradley MAP Policy Administrator is solely responsible for and authorized to determine whether a violation of MAP Policy has occurred, any appropriate sanctions, communicating such decisions and receiving communications regarding sanctions imposed. This MAP Policy shall be administered unilaterally. No other Bradley employee, contractor, agent or representative has authority to modify or alter this MAP Policy, or to intervene with respect to sanctions.
This MAP Policy covers all Bradley resellers in the United States and Canada. Although resellers remain free to establish their own advertised and resale prices, the Company intends to unilaterally impose sanctions against any reseller that advertises at prices below those established by this MAP Policy. This MAP Policy applies to Bradley products advertised on websites, other broadcast and electronic media, print media or any other advertised pricing published on distributor and marketplace web sites and/or comparative shopping engines including but not limited to: Google, Amazon, Walmart, eBay, Yahoo, Bing, as well as catalogs, brochures, flyers and spot promotions.
MAP applies only to minimum advertised prices and does not apply to the price at which the products are actually sold or to advertised prices higher than the minimum advertised resale prices established under this MAP Policy. MAP shall apply to advertised prices on landing pages as well as shopping cart prices.
The current listing of product categories and applicable allowable discounts by category can be found on the attached list. Bradley resellers are responsible for remaining current with the terms of Bradley’s MAP Policy, that list, by monitoring www.bradleycorp.com/MAP.
Any advertisement publishing a price for a product below the applicable MAP will be a violation of this MAP Policy.
In the event a reseller chooses not to follow this MAP Policy, sanctions will be imposed by Bradley’s MAP Policy Administrator, at the administrator’s sole discretion. Failure to adhere to this Policy may disrupt product supply.
Minimum Advertised Pricing (MAP) Discount Schedule
Bradley’s MAP policy applies to web, printed, or otherwise advertised pricing. This includes, but is not limited to: Google, Amazon, Walmart, Yahoo, Bing and published pricing listed on: Distributor websites, Comparative Shopping Engines, Catalogs, Sales Brochures, Special Price Promos as well as other print or electronic media. Distributor retains flexibility to sell products that may not meet Bradley’s MAP levels but must refrain from publishing sell prices below the MAP guidelines to ensure shipments are not interrupted.
